Terms of Service

These Terms of Service ("Terms") govern your access to and use of disclosurereview.ai and related products and services provided by ZenTech Labs ("DisclosureReview," "we," "us," or "our").
By accessing or using the Services, creating an account, uploading content, importing documents, directing us to retrieve documents, or purchasing a report, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services
DisclosureReview is a software-based diligence support tool that helps users review real estate disclosure materials. The Services may include website features, user accounts, document ingestion, link-based retrieval, AI-assisted summaries, question answering, and related reporting functionality.
The Services are offered for informational and workflow-support purposes only.
2. No Professional Advice; No Fiduciary or Licensed Professional Relationship
DisclosureReview is not a substitute for a lawyer, real estate broker, real estate agent, inspector, contractor, engineer, appraiser, insurer, tax advisor, financial advisor, or other licensed professional.
Reports, summaries, flags, scores, outputs, and other content generated by the Services may be incomplete, inaccurate, outdated, or wrong. You are solely responsible for independently evaluating any property, disclosure, transaction, negotiation, offer strategy, contingency decision, pricing decision, waiver decision, or other real estate decision and for obtaining advice from qualified professionals.
Use of the Services does not create any attorney-client, fiduciary, agency, brokerage, inspection, engineering, appraisal, advisory, or other professional relationship between you and ZenTech Labs or DisclosureReview. We do not guarantee compliance with any disclosure law, real estate law, fair housing law, or transaction requirement.
3. Eligibility
You may use the Services only if:
- You are at least 18 years old
- You can form a binding contract
- You are not barred from using the Services under applicable law
If you use the Services on behalf of a company, brokerage, or other entity, you represent that you have authority to bind that entity to these Terms.
4. Accounts
You may need to create an account to use some features. You are responsible for:
- Providing accurate and current information
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
You must notify us promptly at support@disclosurereview.ai if you suspect unauthorized access to your account.
We may suspend or terminate accounts at any time if we believe there has been a violation of these Terms, misuse of the Services, fraud, security risk, or other harmful activity.
5. Payments, Pricing, and Free Offers
Some features may require payment. Payments are processed by third-party payment processors such as Stripe.
At launch, we may offer one free report and charge one-time fees for additional reports or services. We may later offer subscriptions, recurring billing, promotional pricing, or other plans. We may change pricing, plans, features, or availability at any time, subject to applicable law.
Except as required by law or expressly stated at the time of purchase, fees are non-refundable. If we choose to provide a refund, credit, or adjustment in a particular case, that does not obligate us to do so in the future.
You are responsible for any taxes, duties, or similar governmental assessments associated with your purchase, other than taxes based on our net income.
6. User Content and Imports
You may submit, upload, import, transmit, or direct us to retrieve documents, links, text, prompts, questions, or other materials ("User Content") through the Services.
You retain whatever ownership rights you have in your User Content. However, you grant us a non-exclusive, worldwide, royalty-free license to host, copy, store, process, transmit, display, retrieve, and use User Content as necessary to:
- Provide and operate the Services
- Retrieve documents from links or sources you direct us to access
- Generate reports and outputs for you
- Troubleshoot, secure, and maintain the Services
- Enforce these Terms
- Comply with law
You represent and warrant that:
- You own or control all rights necessary to submit the User Content
- Your User Content and our permitted use of it will not violate any law, contract, privacy right, intellectual property right, confidentiality obligation, or other right
- You have any necessary authorizations to upload disclosure packets, submit third-party materials, or direct us to retrieve documents from links or services, including disclosures.io or similar sources
- You have authority to permit us and our service providers, including cloud model providers, to process such materials in order to provide the Services
- You will not upload, import, or direct us to retrieve information you are not legally permitted to disclose
7. Use of AI and Third-Party Models
The Services may use automated systems and third-party cloud model providers to process your User Content and generate outputs. By using the Services, you acknowledge and agree that uploaded materials, imported materials, extracted text, prompts, questions, and related inputs may be sent to third-party service providers for processing in order to provide the Services.
You further acknowledge that AI-generated outputs have limitations and may contain mistakes, omissions, or misleading conclusions.
8. Acceptable Use
You agree not to:
- Use the Services for any unlawful, fraudulent, deceptive, discriminatory, or harmful purpose
- Use the Services in a way that violates fair housing laws, privacy laws, or professional or licensing obligations
- Upload malicious code, malware, or harmful content
- Attempt to gain unauthorized access to the Services or related systems
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, scrape, copy, frame, mirror, benchmark, or extract data from the Services except as expressly permitted by us
- Use the Services to develop or improve a competing product or model without our written consent
- Resell, sublicense, or commercially exploit the Services except as expressly authorized
- Submit content that infringes intellectual property, privacy, publicity, or contractual rights
- Misrepresent AI-generated output as professional advice or as guaranteed fact
9. Intellectual Property
The Services, including our software, branding, design, text, graphics, interfaces, workflows, and all related intellectual property, are owned by ZenTech Labs or our licensors and are protected by applicable law.
Except for the limited right to use the Services in accordance with these Terms, no right, title, or interest in or to the Services is granted to you.
"DisclosureReview" and related names, logos, and branding may be protected trademarks or trade dress of ZenTech Labs or its affiliates.
10. Feedback
If you provide suggestions, feedback, ideas, or recommendations regarding the Services, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, modify, and exploit that feedback without restriction or compensation.
11. Service Changes; Availability
We may modify, suspend, discontinue, or restrict all or any part of the Services at any time, with or without notice. We do not guarantee that the Services will be available, uninterrupted, secure, accurate, complete, or error-free.
12. Beta Features
Some features may be labeled or function as alpha, beta, preview, experimental, or early-access features. Those features may be particularly unreliable, incomplete, or subject to change, and are provided "as is."
13. Termination
You may stop using the Services at any time.
We may suspend or terminate your access at any time, with or without notice, if we believe:
- You violated these Terms
- Your use creates legal risk, security risk, or potential harm
- We are required to do so by law
- Continued operation is no longer commercially feasible
Upon termination, your right to use the Services ceases immediately, but provisions that by their nature should survive will survive, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnity, dispute resolution, and general terms.
14. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENTECH LABS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
WITHOUT LIMITING THE FOREGOING, WE MAKE NO REPRESENTATION OR WARRANTY THAT:
- ANY REPORT, OUTPUT, FLAG, SUMMARY, OR RECOMMENDATION IS ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE
- THE SERVICES WILL IDENTIFY ALL MATERIAL PROPERTY ISSUES OR DISCLOSURE RISKS
- THE SERVICES WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS
- THE SERVICES COMPLY WITH ANY PROFESSIONAL STANDARD OF CARE
- ANY DEFECTS OR ERRORS WILL BE CORRECTED
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENTECH LABS, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR PROPERTY VALUE, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE CLAIM AROSE, OR
- ONE HUNDRED U.S. DOLLARS (US $100)
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
16. Indemnity
You agree to defend, indemnify, and hold harmless ZenTech Labs, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, demands, actions, proceedings, damages, losses, liabilities, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your User Content
- Your violation of these Terms
- Your violation of any law or the rights of any person or entity
17. Dispute Resolution; Arbitration; Class Action Waiver
Please read this section carefully. It affects your legal rights.
A. Informal resolution first
Before filing a claim, you agree to first contact us at support@disclosurereview.ai and attempt to resolve the dispute informally. If a dispute is not resolved within 30 days after notice, either party may pursue formal resolution as set out below.
B. Binding arbitration
Except for disputes that qualify for small claims court or claims for injunctive or equitable relief relating to intellectual property or unauthorized access, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration and not in court.
The arbitration shall be administered by JAMS or, if JAMS is unavailable, another nationally recognized arbitration provider, under the provider's applicable rules for consumer or commercial disputes, as appropriate. The arbitration may be conducted remotely, in California, or at another mutually agreed location. The arbitrator shall have exclusive authority to resolve disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration provision, except where prohibited by law.
C. Class action waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ZENTECH LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION OR PROCEEDING.
D. Jury trial waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ZENTECH LABS WAIVE ANY RIGHT TO A JURY TRIAL FOR COVERED CLAIMS.
E. Opt-out
You may opt out of this arbitration provision by sending written notice to support@disclosurereview.ai within 30 days of first accepting these Terms. Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration.
F. Severability
If any part of this Section 17 is found unenforceable, the remaining parts shall remain in effect to the fullest extent permitted by law, except that if the class action waiver is found unenforceable with respect to a particular claim and that determination is not subject to appeal, then that claim shall proceed in a court of competent jurisdiction and not in arbitration.
18. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles, except to the extent federal law governs arbitration or other issues.
Subject to Section 17, any dispute not required to be arbitrated shall be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction and venue in those courts.
19. Separate Agreements
If you or your organization enter into a separate written agreement with us governing certain Services, that agreement will control to the extent of any conflict with these Terms.
20. Changes to These Terms
We may update these Terms from time to time. If we do, we will post the revised Terms and update the "Last updated" date. By continuing to use the Services after updated Terms become effective, you agree to the revised Terms.
21. General Terms
These Terms constitute the entire agreement between you and ZenTech Labs regarding the Services, except for any separate written agreement described above.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
